These Terms of Use (“Terms”) govern your access to and use of the Kweli platform, including access via website, WhatsApp, and any related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. About Kweli

Kweli is a load coordination service designed to help transport operators, shippers, and intermediaries identify and coordinate logistics opportunities, primarily within Southern African Development Community (SADC) routes. Kweli facilitates introductions and coordination but does not act as a carrier, broker, freight forwarder, or agent.

2. Eligibility

You may use the Service only if:

• You are at least 18 years old;

• You have the legal authority to enter into binding agreements;

• You operate, represent, or engage in lawful transport, logistics, or shipping activities.

By using the Service, you confirm that you meet these requirements.

3. Nature of the Service

Kweli:

• Provides coordination and information tools only;

• Does not own, operate, insure, or manage vehicles or cargo;

• Does not guarantee the availability, quality, pricing, or completion of any load;

• Does not verify the legality, permits, insurance, or compliance status of users unless explicitly stated.

All transport agreements are entered into directly between users.

4. No Agency or Brokerage

Kweli is not a freight broker, carrier, customs agent, or logistics service provider. Nothing in these Terms creates any partnership, agency, joint venture, or employment relationship between Kweli and any user.

5. User Responsibilities

You are solely responsible for:

• Ensuring your vehicles, drivers, permits, licenses, and insurance are valid and lawful;

• Verifying load details before accepting any work;

• Complying with all applicable laws, regulations, and border requirements;

• Fulfilling any commitments you make to other users.

Kweli does not supervise, direct, or control how users perform transport services.

6. Communications and Access

Access to the Service may be provided via WhatsApp, web interfaces, or other communication channels. You acknowledge that:

• Message delivery is not guaranteed;

• Third-party platforms (such as WhatsApp) are outside Kweli’s control;

• Delays, interruptions, or data loss may occur.

7. Fees

At present, Kweli does not charge usage fees. Kweli reserves the right to introduce fees or paid services in the future, with reasonable notice.

8. Content and Information Accuracy

Kweli does not guarantee that load information, route details, or user-provided data is accurate, complete, or current. Users must independently verify all information before acting on it.

9. Limitation of Liability

To the maximum extent permitted by law:

• Kweli shall not be liable for any direct, indirect, incidental, consequential, or economic losses;

• This includes loss of income, cargo damage, delays, border issues, disputes, or failed deliveries;

• Kweli is not responsible for actions or omissions of users or third parties.

Use of the Service is entirely at your own risk.

10. Indemnification

You agree to indemnify and hold harmless Kweli, its owners, operators, and affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the Service;

• Any agreement or dispute between you and another user;

• Your violation of these Terms or applicable laws.

11. Suspension or Termination

Kweli reserves the right to restrict, suspend, or terminate access to the Service at any time, with or without notice, including where use poses operational, legal, or reputational risk.

12. Changes to the Terms

Kweli may update these Terms from time to time. Continued use of the Service after changes are published constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of law principles.
